2. Agreement to Terms

5. Children’s Privacy 

The Service is intended for business users and is not directed to children under the age of 16. PodSearch does not knowingly collect personal information from individuals under the age of 16. If you are aware of, or suspect that, someone under the age of 16 has provided personal information to us, please notify us immediately by contacting us as detailed in the How to Contact Us section below.

This Privacy Policy is effective as of the date at the top of this policy. PodSearch may update this Privacy Policy from time to time. When we do, we will revise the effective date at the top of this page. We encourage users to review this page periodically for changes and to stay informed about how we collect, use, and disclose personal information. In the event of a material change to this Privacy Policy, we will provide notice as required by applicable law. 

13. Users in Other Jurisdictions 

The Service is operated from the United States and is primarily directed to business users and prospective clients in the United States. Users from other jurisdictions may access the Service. This Privacy Policy describes our primary privacy commitments where we have a significant user base or where local laws require specific disclosures. 1. Acceptance of Terms 

These Terms of Use (“Terms”) govern your access to and use of https://podsearchadvertising.com, any successor or redirected PodSearch website, including podsearch.com if redirected to or operated with the website, and any content, functionality, and services offered on or through the website (collectively, the “Site”). The Site is owned and operated by PodSearch, Inc. (“PodSearch,” “we,” “us,” or “our”). 

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you should not access or use the Site. 

2. Changes to These Terms 

We may revise and update these Terms from time to time in our discretion. Changes are effective when posted unless otherwise stated. Your continued use of the Site after revised Terms are posted means that you accept and agree to the changes. 

3. Purpose of the Site 

The Site is an informational website that describes PodSearch’s podcast advertising agency services and allows visitors to learn more about PodSearch and contact us regarding our services. The Site does not currently provide user accounts, e-commerce transactions, subscription services, file sharing, user-generated content features, or downloadable software tools. 

4. Eligibility 

The Site is intended for business users and individuals who are at least 16 years old. By using the Site, you represent that you are at least 16 years old and have the legal capacity to agree to these Terms. If you access or use the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

The Site does not currently require user registration or password-protected accounts. We reserve the right to withdraw or amend the Site, and any content or services provided on the Site, in our discretion without notice. We will not be liable if all or any part of the Site is unavailable at any time or for any period.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to: 

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;

  • Introduce viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; 
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site or any server, computer, or database connected to the Site; or 
  • Otherwise attempt to interfere with the proper working of the Site.

The PodSearch name, related names, logos, product and service names, designs, and slogans are trademarks or service marks of PodSearch or its affiliates or licensors. You must not use such marks without PodSearch’s prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners. 

9. Copyright Infringement 

If you believe that any content on the Site infringes your copyright, please send a written notice to info@podsearch.com with “Copyright Notice” in the subject line and include sufficient information for us to identify the allegedly infringing material and contact you.  

10. Third-Party Links and Services 

The Site may contain links to third-party websites, platforms, or services, including LinkedIn and other resources. These links are provided for convenience only. We do not control and are not responsible for third-party websites, content, privacy practices, or terms. If you access any third-party website linked from the Site, you do so at your own risk and subject to the terms and policies of those third parties. 

11. Informational Content Only; No Guarantee of Results 

The content on the Site is provided for general informational and promotional purposes only. It does not constitute legal, financial, advertising, marketing, or other professional advice, and it should not be relied upon as a substitute for advice from qualified professionals. PodSearch does not guarantee any specific advertising, marketing, audience, revenue, conversion, placement, or campaign results based on use of the Site or information presented on the Site.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. 

15. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY LAW, PODSEARCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

TO THE FULLEST EXTENT PERMITTED BY LAW, PODSEARCH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). 

16. Indemnification 

You agree to defend, indemnify, and hold harmless PodSearch and its officers, directors, employees, agents, affiliates, service providers, licensors, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your use of the Site, or your violation of any law or rights of a third party. 

17. Termination 

We may terminate these Terms and/or terminate your permission to use the Service immediately, without prior notice or liability, if (a) you commit any breach of these Terms, (b) we discontinue the Service, or (c) we are prevented from providing the Service for any reason. 

Furthermore, we reserve the right to change, edit, suspend, delete, and/or cancel any part of the Service and/or your access to it at any time with or without notice to you: (i) if required by law, or (ii) due to an event beyond our control. 

On termination of these Terms for any reason: (x) all rights granted to you under these Terms will cease immediately, (y) you must immediately cease all activities authorized by these Terms (including your use of the Service), and (z) you acknowledge that we may restrict your access to the Service. Sections 7-23 will survive any termination or expiration of these Terms. 

18. Governing Law 

These Terms and any matter arising out of or relating to these Terms, and any claim, cause of action, controversy, or matter in dispute between you and us, whether sounding in contract, tort, statute, regulation, or otherwise, shall be governed by the internal laws of the State of California in the United States, consistent with the Federal Arbitration Act, without regard to any choice or conflict of laws principles (whether of the State of California or any other jurisdiction). The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms. 

19. Binding Arbitration; Class Action Waiver 

PLEASE READ THIS SECTION CAREFULLY. EXCEPT AS EXPRESSLY PROVIDED BELOW, IT REQUIRES YOU AND PODSEARCH TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. 

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the relationship between you and PodSearch, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (collectively, a “Claim”), shall be resolved exclusively through final and binding arbitration administered by JAMS under its then-current Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted before a single arbitrator in Los Angeles County, California, unless the parties agree otherwise. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The determination of whether a Claim is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. 

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision. 

Exceptions to Arbitration 

Notwithstanding the foregoing, either party may: 

  1. Bring an individual action in small claims court for matters within the jurisdiction of that court; 
  1. Seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, trade secrets, or other proprietary rights; and 
  1. Pursue claims that applicable law prohibits from being resolved through arbitration.  

 

Class Action Waiver 

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PODSEARCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. 

 

Jury Trial Waiver 

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PODSEARCH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE PARTIES’ RELATIONSHIP.  

20. Limitation on Time to File Claims 

To the fullest extent permitted by applicable law, any Claim arising out of or relating to the Site or these Terms must be commenced within one (1) year after the Claim accrues, or such Claim will be permanently barred. This limitation period does not apply where prohibited by applicable law. 

21. Waiver and Severability 

No waiver by PodSearch of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect. 

22. Entire Agreement 

These Terms and the Privacy Policy constitute the sole and entire agreement between you and PodSearch regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Site.
